Unable to update iPhone

I am using factory ulocked iphone 4. I was using ios 4.2.1. Recently I was trying to update it t0 ios 4.3 but during that process my ios 4.2.1 was removed and i am not able to instal ios 4.3 . During the installation it stops in miday.
I am trying to install ios 4.2.1 but i am getting .dmg files only.
My iphone is like dumb peice of hardware. Please help me to solve this problem.I am using itunes 10.2.1.

Temporarily disable your anti-virus program as well as Windows firewall(if you are using Windows), then try to download again.

I did that but this also not working.
Only thing i am getting is connect to itunes.

My 3G model MB702LL will not update to 4.3. When I select check for updates in iTunes it comes back saying I have the latest version. iPad updated no problem.
